ACCEPTANCE OF TERMS

The services NammaOffice provides to you, the undersigned Member, including but not limited to building access, use of office space, access to Internet, and the other Services listed below, are subject to the following Coworking Space Agreement Terms and Conditions. The most recent Agreement or changes in the terms and conditions would be made available upon request by the Member. Members will abide by the Agreement, as well as other terms and conditions determined by NammaOffice staff, which may be communicated verbally, by email or written notice. NammaOffice reserves the right to add, delete or amend the Agreement at a reasonable discretion with a notice to Member. Members continued use (membership) of co-working facilities and services following any changes to the Agreement, constitutes your acceptance of such new terms and conditions.Coworking Space Membership application does not create a tenancy, but a prepaid usage license to use the provided amenities on a monthly or casual basis.

COWORKING BEST PRACTICES 

NammaOffice is a shared, collaborative, and open workspace. In order for everyone to peacefully coexist, there are some best practices that we should all follow:

➢    BE FRIENDLY. BE NICE. BE COURTEOUS. Introduce yourself to others. You’ll probably find other
motivated hard workers like yourself. They can be great resources to bounce ideas off. Many businesses have been formed based on common goals and complementary skills. Treat others the way you’d like to be treated. Hopefully you’ll know if you’re not being nice. We’ll tell you if we need to. 
➢    BELIEVE IN YOURSELF, BELIEVE IN OTHERS, AND IN THE POWER OF COWORKING. And, let it show. Do your part in promoting a positive, productive, pleasant experience at NammaOffice. Be supportive to NammaOffice and your fellow members so we can all be more successful 
➢    BE CONSIDERATE AND RESPECTFUL TO OTHERS. When you are finished using something, put it back the way you found it. Push chairs back in, clean off work spaces, and erase white boards. Always keep in mind you are sharing the space with others.
➢    ADVERTISE YOURSELF. If you have a Private Cabin or Dedicated Desk, put something up with your logo and make sure we showcase you with signage and other possible mediums. The more the coworkers knows what you are about, the more buzz it can create for you.
➢    PHONE CALLS. Phone calls in the open space are fine, just talk at a normal volume and be aware it is an open space with the associated background noise. If you need privacy or are practicing aggressive negotiations or you have to yell at someone, take a walk outside. On the flip side, if you get disturbed easily by someone on a call, a good set of headphones are a must. If you are on the phone a lot using your booming sales voice, a Private Cabin is your best membership option.
➢    WORK HARD, HAVE FUN, AND PARTICIPATE. The thing that makes NammaOffice more than just a place to work is the community. In case you haven’t figured this out yet, that’s YOU. You have the power to make that community something really great. Use it.
➢    BE A GOOD SOCIAL AND ENVIRONMENTAL MEMBER OF THE WORLD Recycle. Don’t be wasteful. That means don’t leave water running, turn out lights when you leave a room, print on both sides of paper, bring a sweater in winter months, etc. – common sense stuff most of us have heard all our lives. 
➢    KEEP OUR SPACE CLEAN. When you leave, please make sure to clean your space. So please keep it clean and trash your trash. 
➢    PAY YOUR BILLS. You agree to pay your monthly Membership fee in a timely manner before the 5th business day of a month. We may set up an automated monthly payment. If we notify you that your payment did not post for any reason, you will promptly (within 2 days) rectify the situation and make payment.
 
➢    LET US KNOW IN ADVANCE IF YOU’RE UPGRADING. We are happy that you are growing. Members can request to upgrade their membership level (increasing the seat count or switching to a different plan) at any time (it will take effect from the next billing cycle), but must provide a minimum of 30 days’ notice. Downgrading from Private Cabin to Open Desk/ reducing the number are seats may not be advisable within the agreement period. 
➢    MAKE THIS YOUR WORKPLACE. NammaOffice workplace to be used only for business use only.
➢    BE ACCOUNTABLE FOR YOUR ACTIONS. Should any action or inaction on your part harm or cause damage, you agree to own up to it and cover any related costs.
➢    BE ACCOUNTABLE FOR YOUR GUESTS. If you bring guests, students, participants – any label you apply – if you in any way for any means bring a person or persons into NammaOffice premises or building, they are your responsibility. It’s your job to make sure they follow the rules and generally behave themselves.
➢    MIND YOUR OWN BUSINESS. We coworkers work in close proximity to others. Keeping your information or that of yours and our customers private is up to you. On the flip side, you agree to not inappropriately share, reproduce, or use information or materials of others.
➢    PROTECT YOUR INTERESTS AND STUFF. NammaOffice has a Floor Manager and surveillance system to protect every safety aspect of our members. We also provide some dedicated fixed lockers to our members on demand to safeguard your personal belongings. Still, if you bring yourcomputer, coffee mug, food, paperwork, or anything else to NammaOffice, it’s your job to secure it.
➢    DO YOUR PART TO KEEP NAMMAOFFICE SAFE. Don’t do foolish and dangerous things like play with matches, run with scissors, or do chemistry experiments with cleaning solutions. Wash your hands. Throw away food that has gone bad. Clean up spills. Let us know if a light bulb is out, a door or window is not latching properly, or you see anything at all that needs repair. Keep our network safe, too. Be careful not to upload or use files that contain viruses, malware, etc. that may damage the network, computers, or other equipment of NammaOffice or its members.
➢    CONSUMPTION OF FOOD OR BEVERAGES. NammaOffice is not in the business of serving food or beverages. If such exists and you choose to partake, you do so at your own discretion and risk. Call a cab if you are not well and it would be unsafe to drive. NammaOffice, its members, have no liability for illness, accidents, or any bad thing that results from your consumption of any substance of any kind.
➢    OBEY THE LAW. You agree not to use NammaOffice for any purpose that is unlawful, prohibited or otherwise illegal, including doing anything that would damage, disable, or impair any property of NammaOffice or its members or, worse, the members themselves. This also means you won’t try to access property or systems of others, or attempt to obtain information or materials not intentionally made available to all NammaOffice members. If you break the law or do any of the aforementioned bad things, the contract will be immediately terminated. No 30 days’ notice; your membership and any future access under any circumstance will be gone immediately, without the refund of your deposit.
➢    KEEP UP WITH CHANGES TO THESE RULES AND TERMS AND CONDITIONS. Like so many things, NammaOffice will evolve and change over time (largely from input of members). With that may come changes in the rules and terms and conditions. If we change this agreement, we’ll let you know. By signing this document, you agree to remain familiar with and abide by all current (possibly updated) rules and terms and conditions.
➢    COWORKING COMMUNITY. We are a community, let us know of suggestions on how we can make NammaOffice better. We’re interested in both large and small suggestions.
TERMS AND CONDITIONS OF THE CO-WORKING SPACE AGREEMENT BETWEEN THE MEMBER AND NAMMAOFFICE:

1.    NO UNLAWFUL OR PROHIBITED USE :

As a condition of Membership in NammaOffice and use of the Services, Member will not use the Services for any purpose that is unlawful or prohibited in this Agreement. Member may not use the Services in any manner that could damage, disable, overburden, or impair any server, or the network(s) connected to any server, or interfere with any other party’s use and enjoyment of any Services. Member may not attempt to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any server or to any of the Services, through hacking, password mining or any other means. Member may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

2.    ACCEPTABLE USE POLICIES :

The undersigned Member agrees to abide by the following as well as enforce the following with any guests of the Member:
2.1.    Do not upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer / laptops or property of another Member;
2.2.    Do not upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless Member owns or controls the rights thereto or have received all necessary consent to do the same;
2.3.    Do not use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party and/or Member;
2.4.    Member will not download any file(s) that cannot be legally reproduced, displayed, performed, and/or distributed in such manner;
2.5.    Do not restrict or inhibit any other user from using and enjoying the Services;
2.6.    Do not violate any guidelines which may be applicable for any particular Service;
2.7.    Will not harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;
2.8.    Will not violate any applicable laws or regulations;
2.9.    Will not create a false identity for the purpose of misleading others;
2.10.    Will not allow any guest(s) to enter the building without registering such guest(s) according to our policies;
2.11.    Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
2.12.    Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through NammaOffice servers;
2.13.    Perform any activity that is reasonably likely to be disruptive or dangerous to other Members, their guests, or their property
2.14.    Use the Services to conduct or pursue any illegal activities;
2.15.    Use the Services to conduct any activity that is generally regarded as offensive;
2.16.    Attach or affix any items to the walls, install antennas, or telecommunication lines or devices in the office space or bring additional furniture into the office space, in each case without our prior written consent;
2.17.    Misrepresent himself or herself to the NammaOffice community, either in person or online;
2.18.    Take or copy information belonging to other Members or their guests;
2.19.    Use the name “NammaOffice” or any other similar name or use pictures or illustrations of the Premises in any advertising, publicity or other purpose, without our prior written consent;
2.20.    Not to use the office space in a “retail,” “medical,” or other nature involving frequent visits of the public.
 
3.    SERVICES :

Subject to the terms of this Agreement, NammaOffice will provide each Member services including but not limited to those described below. These services are referred to in this Agreement as the “Services.”
3.1.    Building Use: Access to the NammaOffice workspace as specified in the Membership Registration Form. All memberships include use of the breakout zone, internet, clerical and reception service, storage facilities, meeting rooms (subject to availability), printing & photocopying (subject
to paper credits as mentioned in the Membership Registration Form), F&B and coworking space. A NammaOffice staff person will be onsite from 9A.M. to 9P.M. on weekdays. Access to the shared or private office space shall be from 9A.M. to 9P.M. 
3.2.    NammaOffice Furnishings: NammaOffice provides Members use of furnishing in all areas. NammaOffice Furnishing provided are the sole property of NammaOffice. NammaOffice Furnishings may never be removed from the premises by any Member(s) and/or it’s guest(s). Further, if and when required, NammaOffice Furnishings may only be moved upon approval of NammaOffice staff. Any damage to NammaOffice Furnishings by Member and/or its guest(s) are the sole responsibility of the Member. Member may be liable for the full replacement cost of any items damaged by Member and/or its guest(s). Any damage to NammaOffice Furnishings by guest(s) are the sole responsibility of the Member. NammaOffice does not guarantee NammaOffice Furnishings for any particular purpose or usage.
3.3.    Member’s Furnishing and Belongings: Members are encouraged to bring furnishings and belongings if they reserve a Private Cabin or Dedicated Desk, but with a prior written approval from NammaOffice’s Executive or Staff. Member’s Furnishing and Belongings must be left within reserved space only. NammaOffice is not responsible in any way for Member’s Furnishings or Belongings. Members should safeguard their Furnishings and Belongings.
3.4.    Meeting Rooms: Subject to availability and credit hours (as mentioned in the Membership Registration Form), Members are entitled to use Meeting Rooms  during regular business hours on regular business days. Prior arrangement must be made with NammaOffice’s staff for usage of Meeting Rooms. Members are entitled to the credit hour for usage of meeting room per month specified in the Membership Registration Form or can be purchased whenever required. Credit hours can be used in any of our meeting rooms that are available. Additional reserved time past the included credit hours is billed at current prevailing rate available on the member portal or as made available by NammaOffice’s executive/staff. Meeting Rooms hours are only valid for the month in which they are allocated. No month to month rollovers (carry forward) or pre-usage of future hours are allowed.
3.5.    Card Key Access and Locker Keys: All keys and card keys are the property of NammaOffice and should never be duplicated for any reason. Member may not lend, share or transfer any keys or Card Keys to any third party. A nominal fee of INR 500 will be charged for any lost access card replacement and an INR 250 will be charged for lost locker key replacement, and INR 1000 charged for lost door key replacement.
3.6.    Private Cabin/ Private Office Space: Some membership Agreements will contain occupancy of Private Cabin. Member acknowledges that Private Cabin has a limited capacity. Whether or not additional Members are included in Members account, no more than that capacity is permitted to work in Members space at any given time. Private Cabins’ capacity is listed on the Membership Registration Form. Furthermore, any addition of persons still required will be chargeable which will have to be discussed with NammaOffice at that time.
3.7.    Guests: NammaOffice allows Guests (Visitors) for all Members. No non-member Guests are allowed to enter the working space unless accompanied by the NammaOffice’s Staff / Executive. Members are required to have all visitors / guests check in with the front desk prior to usage of the space.
3.8.    Mail and Shipment Receiving: NammaOffice will accept mail and deliveries on behalf of Member during regular business hours on our regular business days. Our staff will receive letters, sign for packages, and deliver at the desk or cabin or place them in reserved space unless otherwise instructed. NammaOffice will keep Member mail with until Member is able to pick it up. Following any membership cancellation, all mail will be returned to sender after one week. All mail, packages, or deliveries of any kind received for non-members, day members, half time members or expired members will be returned to sender.
3.9.    Facility Maintenance: Regular maintenance of the office space will be provided by NammaOffice. NammaOffice premises will be professionally cleaned regularly and as needed. NammaOffice will provide air-conditioning in the office space during regular business hours on regular business days. Any maintenance resulting from damage, misuse or mistreatment by a Member will be billed to that Member in their next monthly membership bill at up to the actual cost or may be deducted from the security deposit as provided by the Member.
3.10.    Facility Security: NammaOffice provides all monthly Members with card key access during business hours. Card key access is available at the main entrance only. All exterior doors are to remain closed at all times until expressly open by NammaOffice staff. NammaOffice is equipped with security cameras throughout the space. For security reasons, NammaOffice may regularly record via video certain areas in the premises. Members should safeguard NammaOffice property. Further, Members will be liable for replacement fees should any such property be lost, stolen or destroyed and such replacement fees will be billed to that Member in their next monthly membership bill at up to the actual cost.
3.11.    Enterprise Internet Connection with Wi-Fi: Members are entitled to unlimited access and use the internet connection with Wi-Fi. The Wireless networks are shared infrastructure. Any network abuse may result in reduction in Member bandwidth. Further, repeated abuse may result in termination of Membership.
NammaOffice does not make any warranties or guarantees about security and it’s the Member's responsibility to secure their own personal machine with intrusion detection/prevention software (firewall) and antimalware clients.
3.12.    Printing and Photocopying: Paper Credits are allocated to the members on a monthly basis which is mentioned in the Membership Registration Form. Printing beyond the credit will be charged at INR 10 per page. Further the Print allocation are not rolled over from month to month.
3.13.    Pets: No pets allowed in the premises of NammaOffice.
3.14.    Staff on site: NammaOffice staffs/executives will be available on-site during regular business hours/days. “Regular business hours” are generally from 9:00 A.M. to 9:00 P.M. Further, “Regular business day” means a working day i.e. from Monday to Saturday. National, Public and State Holidays are not regular business day.
4.    MONTHLY FEES, SERVICES’ FEES AND PAYMENTS :

4.1.    Types of Membership: NammaOffice Membership can come in many forms from single day passes to to multi-month offices. All current NammaOffice Memberships are defined on the www.NammaOffice.com web site.
4.2.    Monthly Fees: The Monthly Fee, per month, shall be payable monthly in advance, on or before the 5th calendar day of each and every month, to NammaOffice; and in respect of any broken period a pro-rata adjustment shall be made.
4.3.    Standard Services: Standard Recurring services (if any)  requested by the Client are payable monthly in advance. Unless otherwise agreed in writing, these recurring services will be provided at the specified rates for the duration of this Agreement (including any renewal), as mentioned in the Membership Registration Form. The Client must provide 1 (one) months’ notice to NammaOffice in writing to terminate such standard recurring services.
4.4.    Additional Variable Services: NammaOffice may provide additional Services directly or through a business affiliate. Such services will be billed in arrears at the end of the month, as per usage, and are due within 7 days from the date of the Invoice. Fees for such Services, plus applicable taxes, will be applicable in accordance with NammaOffice published rates which may change from time to time. NammaOffice reserves the right to deduct the amount of such fees from the security deposit, in case of non-payment by the Member.
4.5.    Membership Payment and Authorization: Member authorizes NammaOffice to accept payment of all amounts specified in this Agreement solely by credit card, debit card, cheque, e-wallet, online transfer or direct withdrawal from Member’s bank account. If Member pays via credit card, inform NammaOffice promptly of any changes to such credit card and ensure credit card information is updated prior to its expiration date. If Member pays via direct withdrawal, maintain sufficient money on account to pay fees described in this Agreement and to inform NammaOffice promptly of any changes to this account. Changing your payment method may result in a change in the amount required under this Agreement to be held as a security deposit. Only a single checking or savings account or credit card account may be used at any given time to make payments under this Agreement. If payment via credit card fails on two occasions, NammaOffice may require you to make payments via direct withdrawal. Any cheque bounce  charges may be billed to the Member or deducted from his security deposit provided. Further, the Member would be liable for legal actions under Section 138, Section 139, Section 141 and other applicable provisions of the Negotiable Instruments Act, 1881.
4.6.    Payment Contact and Account Changes: Member shall promptly notify NammaOffice of any change to Member’s contact and payment information.
4.7.    Commitment Fees: Upon submitting a signed and completed Agreement, Member may be obligated to pay a non-refundable commitment fees to hold certain Memberships prior to their start day, each in the amount indicated on the Membership Registration Form. Without commitment fees, spaces assigned to Memberships with future start dates cannot be guaranteed. Your commitment fee is your guarantee to hold a space.
4.8.    Security Deposits: On the Membership start date, any pre-paid commitment fee will be applied to security deposits due, if any. Security deposit details would depend upon Membership type as mentioned in the Membership Registration Form. The security deposit is not intended to be a reserve from which fees may be paid. In the event Member owes NammaOffice other fees, they will not be deducted from  the security deposit, but must pay them separately. The security deposit amount must remain the same for the duration of the agreement. Upon termination of Membership, the security deposit may be applied to repairs resulting from any damage caused by Member or any amounts due in case of non-payment by the Member. Any balance remaining on the security deposit will be returned to Member within 7 business days following the termination of this Agreement, subject to the complete satisfaction of your obligations under this Agreement.
4.9.    Membership Charges: During the term of this Agreement, NammaOffice will process payment for your Membership fee and other outstanding fees, in advance. The Membership fee covers Memberships for only the number of Members indicated. Additional Memberships will result in an increased Membership fee.
4.10.    Billing Schedule: All Membership invoices will be generated 10 days before the end of the month for the next month’s services and delivered or mailed to the Member on the registered e-mail provided by the Member. Member should review all charges upon receipt. NammaOffice will charge or debit Member’s accounts 5 days post the invoice issue date, for all charges due for the next month and any overages from the previous month. All payments must be received in full no later than due date which will be the last day of the invoice issue month. Accounts are considered past due if payment has not been received by end of day of the due date.
4.11.    Overage Fees: Membership entitles Members to a certain number of pre-paid Services (conference room, printing) as specified on the Membership Registration Form. Members exceeding allocated amounts will be responsible for paying fees for such overages.  
4.12.    Past Due Payments/Late Payment: Should payment not be received in full after processing till the due date, NammaOffice reserves the right to release to other Members any spaces that have been allocated at the time of current membership expiration and / or deduct the same from the security deposit as provided by the Member.
4.13.    Late Fees: If payment for monthly Membership fee(s) or any other accrued and outstanding fee(s) is not made by the due date, you will be assessed a late fee of INR 50 per day/seat of default and in case of no payment the same late fees would be deducted from the security deposit as provided by the Member.
4.14.    Insufficient Funds Fees: Should Members payment be returned for insufficient funds or invalid credit card information; a charge will be added to the current bill and the total amount due for the current month will be increased by INR 1,000/-
4.15.    Outstanding Fees: NammaOffice may withhold services or terminate this Agreement if any outstanding fees are due beyond the due date including but not limited to building and network access. When NammaOffice receives funds from you, NammaOffice will first apply funds to any balances which are in arrears and to the earliest month due first. Once past balances are satisfied, any remaining portion of funds received will be applied to current fees due.
4.16.    Changes to Fees: Membership fees shall not change during the term of this Agreement. Other service fees are subject to increase from time to time. NammaOffice will notify Members at least thirty days prior to fee increases for any such services.
4.17.    Refunds: NammaOffice’ memberships and commitments fees are not refundable once payment is processed. Refunds may be issued for security deposits when there are no services or maintenance that would apply to the deposit and no additional outstanding fees. Refunds may also be issued when billing errors occur.
4.18.    Notice of changes: NammaOffice will provide notice to Members of any changes to services, fees, or other updates on the email addresses provided. It is your responsibility to read such emails and keep your e-mail address updated with NammaOffice.
4.19.    Term: This Agreement will be effective once signed by Member. Member will be entitled to the Services and benefits of NammaOffice once payment is made by Member of all deposit and Membership fees. Each Membership will begin on the Start Date specified in the Membership Registration Form. Each Membership will terminate upon the termination of the Agreement, your removal of a Member from the Member List or our notification to you that a Member violated these Terms and Conditions. If the Start Date is a Business Day, the Members will be entitled to move into the office space on the Start Date. If the Start Date is not a Business Day, the Members will be entitled to move into the office space on the first Business Day after the Start Date no earlier than9:00 A.M.
5.    DISPUTE BETWEEN THE MEMBERS :

5.1.    NammaOffice does not control and is not responsible for the actions of other Members. If a dispute arises between Members or their invitees or guests, NammaOffice shall have no responsibility or obligation to participate, mediate or indemnify any party. NammaOffice does reserve the right to terminate Membership  immediately, without refund, if any Membership dispute becomes disruptive.
5.2.    Harassment of any kind will not be tolerated.

6.    TECHNOLOGY RELEASE :

In order to utilize all the Services offered by NammaOffice, it may be necessary to install or run software on a Member’s system. In addition, from time to time, at a Member’s request, NammaOffice or an affiliate may troubleshoot problems a Member may has accessing certain Services such as Printing, Wi-Fi and Storage. Regarding the foregoing, you agree that NammaOffice and our affiliates are not responsible for any damage to any Member’s system related to such technical support or downloading and installation of any software. NammaOffice does not assume any liability or warranty in the event that any manufacturer warranties are voided and do not offer any verbal or written warranty, either expressed or implied, regarding the success of any technical support.

7.    FORCE MAJEURE :

In the event the Centre or the premises are destroyed or damaged, at any time, by any event falling within the term “force majeure”, this Agreement shall come to an end on NammaOffice giving to the Client notice in writing to that effect. NammaOffice shall within two weeks of giving notice that this Agreement has come to an end for the reasons aforesaid refund to the Client the Security Deposit and the monthly fees paid by the Client after adjusting therefrom all dues under any head for the past period up to the date of occurrence of the event of force majeure and payable by the Client under this Agreement.

8.    LIABILITY AND DISCLAIMER :

8.1.    NammaOffice will not in any circumstances have any liability for loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third party claims or any consequential loss unless NammaOffice otherwise agrees in writing.
8.2.    Subject to gross negligence and deliberate misconduct, NammaOffice, its employees and agents shall not be held responsible for any theft, loss or damage from the Premises or for any damage done to the furniture or other effects of any Member in the Premises by the caretaker or cleaners or any employees, agents, guests or invitees of NammaOffice.
8.3.    NammaOffice shall not be responsible for any loss, damage, corruption of data or any loss of information whether from hardware, software or internet damage that may occur to the Client during the term of this agreement. NammaOffice shall not be responsible for any loss, damage or loss of information resulting from communications or data failure including voice, communication and the internet.
8.4.    Subject to gross negligence and deliberate misconduct, NammaOffice is not liable for any loss as a result of NammaOffice’s failure to provide a service as a result of mechanical breakdown, strike, termination of NammaOffice’s interest in the building containing the Centre or otherwise.
8.5.    In no event shall NammaOffice be liable for any loss or damage until the Client provides written notice and gives NammaOffice a reasonable time to put it right. 

9.    LEGAL DISCLOSURES :

9.1.    Information Security: NammaOffice will make its best effort to protect all confidential information regarding Member. NammaOffice may disclose information about Member as necessary to satisfy any applicable law, regulation, legal process or government request. NammaOffice will not harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party.
9.2.    Our Reserved Rights: NammaOffice is entitled to access your office space, with or without notice, for maintenance, safety or emergency purposes. During these times, NammaOffice may temporarily move furniture contained in the office space. NammaOffice reserves the right to move or alter your office space. NammaOffice may modify or reduce the list of Services at any time but with a prior notice. The Services may be provided by NammaOffice, an affiliate or a third party.
9.3.    Class Action Waiver: Any proceeding to resolve or litigate any dispute in any forum or Tribunal or Court will be conducted solely on an individual basis. Neither the Member nor the NammaOffice will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity. No proceeding will be combined with another without the prior written consent of all parties to all affected proceedings.
9.4.    Waiver of Claims: To the extent permitted by law, the Member, on behalf of a Member and on behalf of the Member’s employees, agents, guests, invitees, etc, waive any and all claims and rights against NammaOffice, NammaOffice’ affiliates, third parties hired by NammaOffice, other Members, assignees and officers resulting from injury or damage to, or destruction, theft, or loss of property or person.
9.5.    Limitation of Liability: The aggregate monetary liability of NammaOffice or its affiliates to the Member, or to Member’s employees, agents, guests and invitees for any reason and for all causes of action, will not exceed the total Membership fees paid by the Member to NammaOffice under this Agreement. NammaOffice and its affiliates will not be liable under any cause of action, for any indirect, special, incidental, consequential, or punitive damages, including loss of profits or business interruption. The Member may not commence any action, or proceeding against NammaOffice or its affiliate, whether in contract, tort, or otherwise unless the action, suit, or proceeding is commenced within One year of the cause of action’s accrual.
9.6.    Legal to enter into Agreement: The Member hereby represent and warrant that he / shall have all requisite legal power and authority to enter into and abide by the terms and conditions of this Membership Agreement and no further authorization or approval is necessary. The Member further represent and warrant that he / she participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which they are a party.
9.7.    Acceptance of Agreement: NammaOffice provides to the undersigned Member, including but not limited to building access, use of office space, access to Internet, and the other Services listed below which are subject to the following Membership Agreement. Members will abide by the Agreement, as well as other terms determined by NammaOffice staff, which may be communicated verbally, by email or written notice. NammaOffice reserves the right to add, delete or amend the Agreement at our reasonable discretion without notice to Member. Members continued use (membership) of NammaOffice facilities and services following any changes to the Agreement constitutes your acceptance of such new term(s).
